Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Whispaw desktop application, iPhone companion, relay services, Music Discovery features, and this website (collectively, the “Services”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility and accounts
You must be at least 18 and legally able to enter into these Terms. You are responsible for your account, devices, credentials, permissions, paired connections, and all activity authorized through them. Provide accurate information, protect your devices and secrets, and promptly disconnect access you no longer trust.
2. What Whispaw provides
Whispaw is a user-controlled software workspace that can connect voice and text commands with desktop tools and third-party services. Features may include questions and summaries, directions, reminders, code editing, websites, media, communications, trading interfaces, automations, purchases, and listener-funded music. Features may be experimental, unavailable, changed, or removed.
3. User direction and confirmations
You are responsible for reviewing commands, transcriptions, selected contacts, destinations, products, order details, code changes, and financial transactions. Voice recognition, AI output, website interpretation, map data, and gesture detection can be wrong. A confirmation mechanism reduces risk but does not guarantee accuracy. Do not use Whispaw where an error could create an unreasonable risk of injury or loss.
4. Trading and financial features
Whispaw is not a broker, dealer, investment adviser, fiduciary, exchange, or market-data provider. It does not provide personalized investment advice. Trading features communicate with a broker selected and authorized by the user. Quotes may be delayed, stale, incomplete, or unavailable. Automated strategies and orders can lose money rapidly, and past or simulated results do not predict future performance.
You are solely responsible for account eligibility, buying power, order review, risk controls, tax consequences, compliance, and broker charges. Broker records govern all orders and fills. Do not rely on Whispaw as the only way to monitor or exit a position.
5. Directions, communications, and emergencies
Directions and place information may be inaccurate or outdated. Observe road conditions, signs, laws, and official instructions. Do not interact with the app in a distracting manner while driving. Whispaw is not an emergency, medical, roadside, or dispatch service. Calls and messages depend on third-party networks and may fail or reach the wrong recipient.
6. Code and automation
Code-generation and automation tools can modify files and affect connected systems. Maintain backups, use source control, review changes, limit credentials and permissions, and test before deployment. You are responsible for the software, instructions, and systems you choose to modify.
7. Websites, merchants, and purchases
Whispaw may help navigate third-party websites or prepare user-directed purchases. Product descriptions, prices, availability, delivery, refunds, subscriptions, taxes, and merchant policies are controlled by the merchant. You are responsible for reviewing the final merchant screen and complying with the merchant’s terms. Whispaw is not the seller or delivery provider.
8. Music Discovery wallet and listening
Where available, Music Discovery may reserve US $0.10 before anonymous playback. Reaching 30 seconds of verified audible playback purchases permanent in-service streaming access, reveals the recording’s metadata, adds it to the library, and credits the designated artist ledger. Skipping before 30 seconds releases the reservation and may permanently hide that recording fingerprint for that listener. Technical failures should not result in a charge or permanent hide.
Wallet funds are prepaid service credits, not a bank account, security, stored-value investment, or transferable currency. Unused balances may be refunded on request, subject to payment reversals, fraud controls, and applicable law. Completed listens are final except duplicate or verified technical charges. Purchased access is in-service streaming, not a downloadable file or ownership of copyright.
9. Artist submissions
You may submit only recordings and metadata for which you control all rights necessary for hosting, transcoding, streaming, sale of access, moderation, promotion within the discovery feed, and payment. You retain ownership but grant Whispaw a worldwide, nonexclusive license to perform those functions while the submission is active and as needed to preserve legitimate purchased access and records.
Whispaw may reject, quarantine, fingerprint, moderate, de-duplicate, classify, suspend, or remove submissions; exclude fraudulent or related activity; reverse improper credits; and require identity, tax, sanctions, and payout verification. Exposure, cohort advancement, listening volume, earnings, and payout timing are not guaranteed.
10. Acceptable use
Do not use the Services to violate law or third-party rights; bypass authentication, safety controls, entitlements, or purchase approval; distribute malware; access accounts without permission; manipulate music listening or payouts; submit content you do not control; harass others; or interfere with the Services. Do not attempt to extract another user’s secrets or encrypted activity.
11. Third-party services
Connected brokers, data providers, model providers, Google, Apple, Cloudflare, Stripe, telecom carriers, map providers, websites, merchants, and other services are independent third parties. Their terms, privacy policies, eligibility rules, fees, and availability apply. Whispaw is not affiliated with or endorsed by those providers unless expressly stated.
12. Intellectual property and feedback
The Services and original Whispaw materials are protected by applicable intellectual-property laws. These Terms grant a limited, revocable, nontransferable right to use the Services as provided. You retain ownership of your content, subject to the permissions needed to process your requests. Feedback may be used to improve Whispaw without compensation or obligation.
13. Suspension and termination
You may stop using the Services at any time. Whispaw may restrict or terminate access to protect users, providers, rights holders, or the Services; address fraud or legal requirements; or enforce these Terms. Provisions that by their nature should survive termination—including payment, rights, disclaimers, liability, and dispute provisions—will survive.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR RESULTS. WHISPAW DOES NOT WARRANT THAT AI OUTPUT, TRANSCRIPTIONS, AUTOMATIONS, MARKET DATA, DIRECTIONS, COMMUNICATIONS, MUSIC, OR THIRD-PARTY ACTIONS WILL BE CORRECT OR UNINTERRUPTED.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHISPAW WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, TRADING LOSSES, DATA, OPPORTUNITY, GOODWILL, OR CONTENT; OR THIRD-PARTY ACTS. WHISPAW’S TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNT YOU PAID DIRECTLY TO WHISPAW DURING THE 12 MONTHS BEFORE THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.
16. Governing law
These Terms are governed by the laws of California, excluding conflict-of-law principles, except where applicable consumer law requires otherwise.
17. Changes and contact
We may update these Terms as the Services change. Material changes will be identified by a new effective date and, when appropriate, an in-app notice. Continued use after the effective date constitutes acceptance where permitted by law.
